with Baird Associates, Inc., ATONE
1. Definitive Contract No. B-5111 dated 1 February 1956 replaces
Letter Contract No. B-5111 and Amendments No. 1, 2 and 3 thereto,
approved by the Project Director by memoranda 17 Ootober 1955, 25
November 1955, 27 December 1955 and 21 February 1956. The Letter
Contract, as amended, obligated $124,000 of Fiscal rear 1956 Funds,
chargeable to Appropriation 2316889.
2. The Definitive Contract is a fixed-price type with provision
for redetermination of the price upon completion of the contract.

3. The scope of this contract provides for submission of a report
regarding studies of a theoretical and experimental nature to determine
the feasibility of constructing an automatic or semi-automatic celestial
navigation system for use in high altitude aircraft and construction of
two prototype units of an aircraft sextant.
4. The study report dated 25 February 1956 has been received,
evaluated and found to be acceptable. The two prototype units were
received in an acceptable condttion on 28 February and 6 March 1956
5. The Contractor, in compliance with the terms of the contract,
has submitted his final statenent of costs, royalty report, patent
disclosure, and residual inventory listing.
6. This office in conjunction with the Project Comptroller has
reviewed to the extent deemed necessary the books and records of the
Contractor. !!eeed upon this review and negotiations held with the
Contractor, it has been detereinsd that $109,177.61 is a fair and
reasonable amount for complete performance of Contract No. B-5111.
This results in a decrease of $14,822.39 of the total obligation for
Contract No. B-5111.
7. Amendment NO. 1 to Definitive Contract No. B-5111 has been
prepared to reflect the redetermined price.
8. Listed below is the status of the Contractor's account under
Contract No. B.5111.
