We are returning herewith all three (3) copies of Amendment
No. 22 to Contract No. A-101 and Amendment No. 5 to Contract
No. as agreed the other day in our telephone conver-
sation.
As I mentioned on the telephone, the negotiated overhead
rates policy goes into effect for our company beginning I January
1959. If we were to insert actual overhead rates into the contract
prior to that date, two things would happen. The overhead rates
might be changed as a result of appeals which are presently being
adjudicated and, in addition, more than one overhead rate would
be applicable for certain periods of time in which more than one
division charged their time to this contract. In order to avoid
this difficulty, the negotiated overhead rates clause could be made
effective 1 January 1959 and subsequent. In order to accomplish
this, I would like to suggest that these amendments be revised as
follows:
Paragraph 2: In the first sentence, after the word
"Contract" add "effective 1 January 1959 and subse-
quent".
Paragraph 3: In the first sentence, after the word
"therefore:" add "effective 1 January 1959 and subse -
quent". Also revise the second sentence of subparagraph
(a) concerning overhead period to read "The first period
hereunder shall be from 1 January 1959 to 31 December
1959" and delete all reference to actual rates in years
past.
All other provisions of Amendment No. 22 to Contract No. A-101
and Amendment No. 5 to Contract No. are acceptable 25X1A
