Subject: SAFE Contract; Burroug s Settlement
In reference to TRW negotiations on the Termination for
Convenience settlement of the Burroughs Corporation TRW/SAFE
subcontracts, you are hereby authorized to make the following
commitments with respect to future Sponsor actions involving
Government-owned Burroughs computer systems excess to the SAFE
Project:
1. Sponsor agrees to transfer ownership of one dual B7800
system and one B6930 system to the National Security Agency
(NSA).
2. Sponsor agrees to transfer ownership of two B6930
systems to the Naval Engineering Logistics Office (NELO).

3. Sponsor agrees to transfer ownership of three B6930

systems to the Naval Security Group (NSG).
Burroughs Corporation must be made aware that these actions
are clearly contingent on the willingness of the aforementioned
Intelligence Community (IC) components to accept the proffered
equipment. In the case of the National Security Agency and the
Naval Engineering Logistics office, we have solid expressions of
interest and believe that the probability of successful placement
is high. In the case of the Naval Security Group, the expression
of interest is still preliminary.
All parties should recognize that placement of the computer
systems in question is not under the full control of the
Sponsor. Should any of the above Burroughs computer systems not
be successfully placed with Intelligence Community components, or
should other B6930 computer systems excess to the re-directed
SAFE Program be accepted by the Government, Sponsor will make a
best effort attempt to transfer ownership of these computer
systems to other agencies within the Intelligence Community.
Should these best effort attempts not be successful by 15 March
1983, Sponsor placement efforts will no longer be limited to the
Intelligence Community. After that date, Sponsor will take
action to transfer ownership in a manner judged by the Sponsor,
and the Sponsor alone, to be in the best interests of the
Government.

TRW representatives are empowered to utilize the Sponsor's
commitment with respect to placement of excess Burroughs computer
systems in negotiations with Burroughs Corporation through close
of business 23 December 1982. No additional or modified
commitments with respect to placement of excess Burroughs
computer systems should be made without the express consent of
the Contracting Officer. Finally, the Sponsor reserves the right
to unilaterally withdraw the aforementioned commitments should
settlement not occur prior to close of business 23 December 1982.

correspondence dated 3 August 1982.
In the best interest of continuing the good relationship between the Burroughs
Corporation, TRW and the Government. he Burroughs Corporation would like to
withdraw the content of the correspondence indicated in reference number (1).
