2. V/0 "Tekhnopromekeport" is an independent economic organization operating
on a cost accounting (khozraschet) basis, with rights of a juridical person.
3. V/0 "Tekhnopromeksport" is liable in its operations and obligations for
that part of its property which is subject to attachment under existing legis-
lation.
. V/0 "Tekhnopromeksport" is not liable for claims against the government,
its organs or other organizations.

The government is not liable for the operations and obligations of V/0
"Tekhnopromeksport.11
4. The administrative organs of V/0 "Tekhnopromeksport" are located in
Moscow.
5. V/0 "Tekhnopromeksport" has a seal with an inscription of its name.
Functions
6. To accomplish the purposes provided for by Article 1 of the present
statute, V/0 "Tekhnopromekaport" shall execute directly or through the correspond-
ing project-planning (proyektnyye) and construction and installation organi-
zations of the USSR the following functions:
a. Prospecting operations for the selection of initial data for the
planning of enterprises and installations, as well as geological surveys, aerial
photographs, and research operations.
b. Project drafting (proyektnyye raboty) operations for enterprises
and installations under construction abroad.
c. Author's verification (avtorakaya proverka)by supervising the con-
formance of construction and installation work to project drafts and technical
documentation.
1. Major installation (ahefmontazh) of equipment and the putting into
operation of industrial and other enterprises.
e. Training of local personnel both in the USSR and abroad for work in
the industrial and other enterprises abroad.
7. To carry out the functions indicated in Article 6 of the present statute,
V/0 "Tekhnopromekeport" is endowed with the following rights in conformity with
existing laws:

a. To conclude all types of agreements and to perform any other legal
acts, including credit and foreign-exchange operations with institutions, enter-
prises, and individuals in the USSR and abroad, and to bring and to defend suit
in courts and in arbitration proceedings.
b. To acquire, requisition, obtain, and lease enterprises subsidiary
to its activities, and to acquire necessary property both in the USSR and
abroad.
c. To establish branches, offices, representatives, agencies, etc.
(both in the USSR and abroad), and to participate in all types of associations,
companies, and organizations appropriate to the aims of the association.
Capital
8. The fixed capital of V/0 "Tekhnopromeksport" is established at 2 million
rubles.
Administration of the Association
9. The administration of the V/0 "Tekhnopromekaport" is carried out by the
chairman of the association and his deputy, who are appointed under the estab-
lished legal procedure. The division of work between the chairman and his
deputies will be determined by the chairman of the association.
10. The chairman of V/0 "Tekhnopromeksport" administers all affairs and
property of the association and independently performs, in the name of the associ-
ation, all the functions assigned to it. He also directs all the planning,
operational, and administrative work of the associationncgrrios out all necessary
operations and legal actsjand deals directly with all establishments, enterprises,
and individuals concerning all affairs of the association.
11. Agreements for carrying out the operations specified in Article 6 of
the present statute concluded by V/0 "Tekhnopromeksport" in Moscow must be signed
by two persons: (1) the chairman of the association or his deputy, and (2) a
person legally authorized to sign the agreements by vi.+ue of a power of attorney
signed by the chairman of the association.
Bills of exchange and other monetary obligations issued by the association
in Moscow in connection with the execution of technical assistance must be signed
by the chairman of the association, or by his deputy and chie3' bookkeeper of the
association.
All agreements concluded by the V/0 "Tekhnopromeksport" or its branches,
offices, represent. res, and agencies and documents effected for the acquisition,
requisitioning, and leasing of various types of property, as well as bills of
exchange and other monetary obligations issued outside of Moscow (both in the
USSR and abroad), must be signed by two persons who have received the power of
attorney from the chairman of the association to affix first and second signatures.
Accounting
12. The fiscal year of V/0 "Tekhnopromeksport" is established as 1 January
to 31 December of each calendar year.
13. The accounts and balance sheets of V/0 "Tekhnopromeksport" are drawn
up and approved in conformity with the existing laws.
Liquidation
14. The procedure for liquidation of V/0 'Tekhnopromeksport" is determined
by existing USSR laws and regulations.
